SECTION 308

The sleeping partnership shall continue in business in spite of the death of a sleeping partner. Where there is provision that despite the death of one of the active partners, the company shall continue with his rightful heirs, the latter shall become sleeping partners where they are dependent minors. Where the deceased partner was the sole active partner and where his rightful heirs are dependent minors, he shall be replaced with a new active partner or the company shall be transformed within one year with effect from his death. Failing this, the company shall be dissolved as of right upon the expiry of the period mentioned in the preceding paragraph.
