All decisions beyond the powers of the managers shall be taken collectively by the partners.
The Articles of Association shall make provision for the taking of collective decisions by the
partners with respect to the consultation procedure either in general meetings or by written
consultation as well as in respect of quorums and majorities.
However, the meeting of all the partners shall hold as of right where requested by an active
partner or by one-quarter, in number and capital, of the sleeping partners.
