Uniform Act relating to commercial companies and economic interest groups › Title 1

SECTION 297

The transfer of shares shall be recorded in a written document. It may be binding on the company only after any one of the following formalities has been fulfilled: 1°) notification to the company of the transfer by means of a bailiff’s act; 2°) acceptance of the transfer by the company in a notarial deed; 3°) deposit of the original deed of transfer at the registered office against an attestation of deposit issued by the manager. The transfer of shares may be binding on third parties only after the fulfilment any one of the above formalities and after publication by entry in the Trade and Personal Property Rights Register.
