A sleeping partnership is one in which the capital is made up of shares and in which one or more
partners, known as “active partners”, whose liability for the company’s debts is unlimited, joint
and several coexist with one or more partners known as “sleeping partners” whose liable for the
company’s debts is limited by shares.
