Except otherwise provided by the Articles of Association or by a resolution of the members, the
manager’s remuneration shall be determined by the majority in number and capital of the
members.
Where the manager whose remuneration is being determined is also a member, the decision
shall be taken by the majority in number and capital of the other members.
