Officers of the management organs of the company shall, within the limits provided by this
Uniform Act for each form of company, have full powers to commit the company with respect
to third parties without having to show proof of a special instrument granting such powers. This
limitation of their legal powers by the Articles of Association shall not be binding on third parties.
