SECTION 114

Notwithstanding the preceding provisions, the members may agree not to register the company which shall then be referred to as a “Sleeping partnership”. It shall not have a legal personality. Sleeping partnerships shall be governed by the provisions of Articles 854 et seq. of this Uniform Act.
