The party responsible for the preservation of the goods may sell them by all appropriate means
where the other party delays in taking possession of them, or in paying the purchase price, or in
paying the costs related to their preservation; notice of such intention to sell shall be given to
the other party.
The party who sells the goods shall have the right to deduct from the proceeds of the sale an
amount equal to the costs of preservation.
He shall be responsible to the other party for the balance.
