Acte uniforme relatif au droit commercial général › Title 3 › Chapter 2

SECTION 238

Where the purchaser is not bound to pay the price at some other time fixed by the contract, he must pay it when the vendor makes available to him either the goods or the documents representing the goods. The vendor shall make delivery of the goods or handing over of the documents conditional upon payment of the purchase price. Where the contract includes transportation of the goods, the vendor may forward them on condition that the goods or the documents representing the goods are only handed over to the purchaser on payment of the purchase price. However, the parties may expressly provide in the contract that the purchaser shall only be bound to pay the purchase price once he has had the opportunity to inspect the goods.
