SECTION 206

In matters of commercial sales, the will and behaviour of one party must be interpreted in accordance with his intention where the other party knew or could not ignore such intention. The will and behaviour of one party shall be interpreted in accordance with the meaning the reasonable man having the same status as the other party, and placed in the same situation, will give them. In order to determine one party’s intention or that of the reasonable man, it shall be necessary to take into account factual circumstances, particularly negotiations which might have taken place between the parties, any customs and usages established between them, and even customs and usages in force in the profession concerned.
