SECTION 411

The minutes of the meeting shall state the date and venue of the meeting, the type of meeting, the method of calling the meeting, the agenda, the quorum, the resolutions tabled for vote and, where applicable, the quorum and voting conditions for each resolution and the outcome of the votes for each of them. They shall be signed, as the case may be, by the chairman of the meeting and by another member, or by the sole member, and shall be filed at the headquarters along with the attendance sheet and its appendices. They shall state, if applicable, that the first members of the board of directors or the general director, as the case may be, as well as by the first auditor have accepted their duties.
